Terms and Conditions
Welcome to ARK Dental Laboratory, a service of ARK Dental Solutions Inc. (“ARK,” “Laboratory,” “we,” “us,” or “our”).
These Terms, Conditions & Laboratory Policies govern laboratory services provided by ARK Dental Solutions Inc. By establishing an account, submitting a case, placing an order, approving a treatment plan or design, or otherwise utilizing our laboratory services, the dental practice and/or ordering dental professional (“Client”) acknowledges and agrees to these terms.
1. Professional Use Only
ARK Dental Laboratory provides dental laboratory products and services exclusively to licensed dental professionals and authorized dental practices.
The prescribing dentist is responsible for diagnosis, treatment planning, preparation, clinical procedures, material selection where applicable, and determining whether a restoration, appliance, or other laboratory product is appropriate for a particular patient.
ARK Dental Laboratory does not diagnose patients or practice dentistry.
2. Case Submission
Clients are responsible for providing complete and accurate case information, including all necessary prescriptions, impressions, digital scans, bite registrations, photographs, shade information, implant information, design instructions, and other materials necessary to complete the requested case.
Incomplete, inaccurate, or unclear submissions may result in delays.
ARK may contact the Client for additional information or clarification before proceeding with a case.
Turnaround time may be suspended until all required information or materials have been received.
3. Digital Case Submissions
Digital scans and files must accurately represent the patient's clinical condition and contain sufficient information for fabrication.
ARK reserves the right to request a new scan, impression, bite registration, photograph, or other information when the submitted records are insufficient to produce a restoration or appliance that meets our quality standards.
The prescribing dentist remains responsible for verifying the accuracy and clinical suitability of all records submitted to the Laboratory.
4. Treatment and Design Approval
Certain cases may require approval of a digital design, treatment plan, setup, wax-up, surgical guide plan, or other proposed laboratory design before manufacturing.
When Client approval is requested, production may not begin until approval is received.
Approval constitutes authorization for ARK to manufacture the case according to the approved design.
Changes requested after approval or after manufacturing has begun may result in additional charges and/or extended turnaround times.
5. Turnaround Times
Any turnaround times provided by ARK are estimates unless expressly stated otherwise in writing.
Turnaround begins after ARK receives all information and materials necessary to proceed with the case.
Turnaround estimates generally do not include weekends, holidays, shipping/transit time, delays caused by incomplete case information, design approval delays, or circumstances outside ARK's reasonable control.
Rush service may be available for certain products and may be subject to additional fees.
6. Shipping and Delivery
Clients are responsible for properly packaging physical impressions, models, components, and other materials sent to ARK.
Shipping and delivery times are separate from laboratory production times.
ARK is not responsible for delays, damage, or loss caused by third-party shipping carriers except to the extent otherwise required by applicable law.
Any provided prepaid shipping labels must be used within the stated validity period. Clients are responsible for following shipping instructions supplied by ARK.
7. Pricing
Current laboratory pricing is available through ARK's published fee schedule or by quotation.
Prices are subject to change. Pricing applicable to a case will generally be based upon the pricing in effect when the case is received unless otherwise agreed in writing.
Additional charges may apply for services including, but not limited to:
• Rush cases
• Special materials
• Additional components
• Implant components
• Custom staining or characterization
• Case modifications
• Design changes after approval
• Additional shipping
• Cases requiring additional procedures or materials
ARK will make reasonable efforts to communicate significant additional charges before proceeding when practicable.
8. Payment Terms
Payment terms are established when an account is opened and may vary based upon account status.
Unless alternative terms have been approved in writing, payment is due according to the terms stated on the applicable invoice.
Clients are responsible for reviewing invoices and promptly reporting billing discrepancies.
Past-due accounts may be subject to suspension of laboratory services and other lawful collection efforts.
ARK reserves the right to require deposits, advance payment, credit card authorization, or payment in full before beginning or releasing cases.
9. Remake & Adjustment Policy
ARK stands behind the quality of our laboratory workmanship.
If a restoration or appliance requires adjustment or remake due to a laboratory manufacturing error, ARK will evaluate the case and, when appropriate under this policy, repair or remake the case at no additional laboratory charge.
Remakes or adjustments resulting from circumstances outside of laboratory workmanship may be subject to additional charges.
Examples may include:
• Changes in the patient's oral condition
• Inaccurate or incomplete impressions or scans
• Inaccurate bite registrations
• Changes in preparation after the original submission
• Incorrect information supplied by the Client
• Shade changes requested after fabrication
• Changes to the original prescription or treatment plan
• Patient preference changes
• Loss or damage after delivery
• Improper clinical handling, adjustment, cementation, or installation
• Failure of components not manufactured by ARK
ARK may request the original restoration, appliance, models, photographs, scans, or other supporting information before authorizing a no-charge remake.
Remake Request Period: [INSERT NUMBER] days from delivery.
10. Case Changes and Cancellations
Clients should contact ARK as soon as possible to modify or cancel a case.
If production has not begun, a case may generally be modified or cancelled without a laboratory production charge.
Once design, manufacturing, materials, components, or outside services have been initiated, the Client may be responsible for work already completed and costs already incurred.
11. Materials and Components
ARK uses materials and components selected according to the prescription, case requirements, manufacturer recommendations, and applicable laboratory standards.
When a specific brand, material, component, or manufacturer is requested, availability may affect pricing and turnaround time.
Third-party products and components may be subject to their manufacturer's warranties, limitations, and availability.
12. Implant Cases
The Client is responsible for accurately identifying the implant system, platform, size, restorative connection, and other information necessary to complete an implant case.
ARK is not responsible for complications resulting from inaccurate implant information supplied to the Laboratory.
Additional components or manufacturer-specific parts may result in additional charges.
13. Warranty
ARK warrants its laboratory products against defects in laboratory materials and workmanship for the applicable warranty period communicated for that product.
Warranty coverage does not extend to failures resulting from accidents, trauma, misuse, improper clinical procedures, changes in the patient's oral condition, inadequate preparation, insufficient restorative space, patient noncompliance, or circumstances outside ARK's control.
Any warranty remedy is subject to evaluation by ARK and applicable law.
14. Patient Information and Privacy
Clients are responsible for transmitting patient information to ARK through approved and reasonably secure methods.
ARK will handle protected patient information in accordance with applicable privacy and security requirements and any applicable Business Associate Agreement between ARK and the Client.
Clients should limit patient information submitted to information reasonably necessary for providing the requested laboratory services.
15. Quality Assurance
ARK Dental Laboratory is committed to providing quality-driven laboratory work at competitive and affordable pricing.
Cases may undergo quality-control review before shipment. If ARK determines that a case does not meet our internal quality standards, we may remake, modify, or delay shipment of the case to correct the issue.
When practicable, we will communicate significant delays to the Client.
16. Limitation of Responsibility
ARK is responsible for the fabrication of laboratory products according to the prescription and information provided by the ordering dental professional.
Final clinical evaluation, fit verification, treatment decisions, delivery, adjustment, cementation, placement, and patient care remain the responsibility of the treating licensed dental professional.
Nothing in these Terms limits liability that cannot lawfully be limited under applicable law.
17. Account Suspension or Termination
ARK reserves the right to suspend or discontinue services to an account for reasons including nonpayment, repeated violations of laboratory policies, inappropriate or abusive conduct, suspected fraud, regulatory concerns, or other legitimate business reasons, subject to applicable law.
Outstanding balances remain due following suspension or termination.
18. Changes to These Terms
ARK may periodically update these Terms, Conditions & Laboratory Policies.
The current version will be posted on our website with its effective date. Continued use of ARK's laboratory services following an update constitutes acceptance to the extent permitted by applicable law.
19. Governing Law
These Terms shall be governed by the laws of the State of California, without regard to conflict-of-law principles.
Any additional dispute-resolution, venue, arbitration, or attorneys' fee provisions should be set forth in the applicable Laboratory Service Agreement.
